           SLP has helped a large number of overseas investors to establish sole proprietorship or joint venture enterprises in China.            Our foreign investment practice involves a wide range of industries, including access-restricted and regulated industries. Investment areas we work in include energy, infrastructure, public utilities, the high-tech industry, industrial enterprises, agricultural projects, real estate development, hotels, commercial retail, trade enterprises; with means of investment involving strategic industrial investment, venture capital, franchising, and BOT, etc. Clients we have acted for include foreign investors, domestic enterprises, and Chinese local government, investment promotion agencies. We provide early-stage consultation and suggestions on strategic issues of investors (especially overseas investors), such as business models, operational plans, investment frameworks, financing schemes, location selection and exit channels; and participate in specific procedures during setup, such as due diligence, commercial negotiation, document drafting, approval submission, etc.
           As the long-time legal adviser to many foreign investment enterprises, SLP gives suggestions on the operations and management of these enterprises in China. We provide extensive and in-depth services from daily consultation to strategic design for investments in China to a number of Fortune 500 companies and other foreign-invested businesses of varying sizes. We focus on, and are very good at, providing continuous services to large and medium-sized foreign investment enterprises. These services can cover almost any legal field and have involved a variety of challenging projects, which extend from time to time to the affiliated companies of these enterprises around the world (including the parent company). We also send lawyers to serve within enterprises. These legal services play an important supporting role in enhancing enterprises’ competitiveness in areas such as management, cost control, and anti-risk capacity.
    Cross-border Investment
           SLP has extensive international resources that help us provide cross-border bridging services to Chinese owners or entrepreneurs and offer overseas investment information and other commercial services to investors. We are good at exploring overseas M&A strategies for domestic clients, designing trading structures and processes, conducting due diligence, issuing legal opinions, participating in negotiations, drafting legal documents, and assisting in delivery. We also help Chinese enterprises "going global" to handle the relevant domestic procedures needed for overseas investment and cooperate with overseas law firms and other institutions to deal with legal and commercial affairs in their overseas investment destinations.

    Foreign Investment
    ●Assisted a world-leading of aircraft interior manufacturing group to complete its Asia-Pacific business model transformation and transfer its investment in China among different special customs zones; the completion of the project ensured that the group can serve its Asia-Pacific clients more efficiently, maximize its global capacity, and reduce overall operating costs
    ●Served as the legal adviser to a municipal government for a direct investment project invested in by a world famous shoe-manufacturing enterprise with a total investment of nearly US $100 million
    ●Provided legal opinions on the transfer of the global trade center of a multinational company, which involved systems of foreign investment, customs, foreign exchange, taxation, etc.
    ●Set up foreign investment enterprises in China in the manufacturing, commerce, real estate and other industries for many multinational companies and other overseas investors
    ●Conducted negotiations on behalf of a large Chinese bathroom products company with a Korean company over the establishment of a joint venture in China; and drafted related contracts and participated in the setting-up procedures.
    ●On behalf of a Chinese investment group, SLP conducted project planning, contract drafting and negotiations for establishing a joint venture with a leading American global Internet company.

    ●On behalf of several state-owned enterprises, provided planning, project screening, due diligence, negotiation and other services for the acquisition of foreign enterprises.
    ●On behalf of a domestic construction machinery enterprise, we invested in an overseas company's project in order to obtain permission to use its technology in China.
